Welcome to App-Focus Enterprise. By accessing or using our warehouse management Platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

1. Acceptance of Terms

By creating an account, logging in, or using any part of the Service, you accept these Terms and agree to comply with them. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Eligibility

• You must be at least 18 years old to use the Service.
• You must have the legal capacity to enter into contracts under the laws of Ghana.
• You must not be barred from using the Service under applicable laws.

3. User Accounts and Security

3.1 Registration

You must provide accurate, complete, and current information during registration. You agree to update your information promptly if it changes.

3.2 Account Security

• Confidentiality: You are solely responsible for maintaining the confidentiality of your login credentials (username and password).
• Unauthorised Access: You must notify us immediately if you suspect any unauthorised use of your account.
• Liability: You are liable for all activities that occur under your account, whether authorised by you or not, until you notify us of a breach.

3.3 Account Suspension and Termination

• By Us: We reserve the right to suspend or terminate your account at our sole discretion if we suspect violation of these Terms, fraudulent activity, or any conduct that may harm the Service or other users.
• By You: You may request account deletion by contacting support. Upon deletion, we will anonymise or remove your personal data in accordance with our Privacy Policy.

4. Use of the Service

4.1 Permitted Use

You may use the Service solely for lawful business purposes related to warehouse management, including:

• Managing Products (adding, editing, deleting, importing).
• Creating and tracking Production Batches.
• Logging Inventory entries (stock in/out).
• Generating Release Notes for outbound shipments.
• Accessing Financial Analytics to monitor pricing and profitability.
• Scheduling and participating in Meetings (video calls).
• Managing users and permissions (admin only).

4.2 Prohibited Use

You shall NOT:

• Use the Service for any illegal, fraudulent, or unauthorised purpose.
• Impersonate any person or entity, or misrepresent your affiliation.
• Interfere with or disrupt the Service’s infrastructure, networks, or security measures.
• Attempt to gain unauthorised access to any part of the Service, including other users' data.
• Upload, transmit, or distribute malicious code, viruses, or any harmful software.
• Scrape, crawl, or use automated bots to extract data from the Service without our prior written consent.
• Use the Service to store or transmit trade secrets or sensitive proprietary information without adequate protection.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Engage in any activity that may harm the Service or other users.

5. Intellectual Property

5.1 Our Ownership

All content, including but not limited to:

• Software code, design, layout, graphics, logos, trademarks, and text.
• Documentation, user guides, and training materials.
• Systems, algorithms, and databases.

are the exclusive property of App-Focus Enterprise or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 User Content

You retain ownership of all data you input into the Service (e.g., product lists, inventory records, production batches, release notes). By submitting content, you grant us a non‑exclusive, worldwide, royalty‑free, perpetual licence to use, store, display, and reproduce that content solely for the purpose of providing the Service to you.

5.3 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service, you agree that we may use them without any obligation to compensate you.

6. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal data are governed by our Privacy Policy, which is incorporated into these Terms. By using the Service, you consent to the processing of your data as described therein.

7. Warranties and Disclaimers

• Service Provided "As‑Is": The Service is provided on an "as‑is" and "as‑available" basis. We do not warrant that the Service will be uninterrupted, error‑free, or meet your specific requirements.
• No Warranties: To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.
• Third‑Party Services: We do not warrant or assume responsibility for any third‑party services integrated with the Platform (e.g., Jitsi, Vitsi, email services).

8. Limitation of Liability

To the maximum extent permitted by Ghanaian law:

• No Indirect Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business) arising from your use of or inability to use the Service.
• Total Liability: Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you (if any) in the 12 months preceding the claim.
• Force Majeure: We shall not be liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, strikes, government actions, internet outages).

9. Indemnification

You agree to indemnify, defend, and hold harmless App-Focus Enterprise, its directors, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your infringement of any third‑party rights.

10. Termination and Suspension

• Termination by You: You may stop using the Service at any time. You may also request account deletion by contacting support.
• Termination by Us: We may suspend or terminate your account immediately if we believe you have violated these Terms, engaged in illegal activity, or posed a security risk.
• Effect of Termination: Upon termination, your access to the Service will be revoked, and we may delete or anonymise your data in accordance with our Privacy Policy.

11. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by the laws of the Republic of Ghana.
• Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
• Dispute Resolution: We encourage you to contact us first to resolve any issues amicably before resorting to litigation.

12. Changes to These Terms

We may update these Terms periodically to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes via:

• Email to your registered address.
• A notice on the Platform.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and App-Focus Enterprise.
• Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to a successor in the event of a merger or acquisition.
